Terms of Service

1. Acceptance of Terms
By accessing or using kindredlabsfoundation.org (the "Site"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Site.
Kindred Labs Foundation ("we," "us," or "the Foundation") is in the process of incorporating as a Delaware nonprofit corporation. These Terms form a binding agreement between you and the Foundation.
2. Use of the Site
2.1 Permitted Use
You may use the Site for lawful purposes consistent with its mission: engaging with AI governance research, applying to participate in the Community Data Review Panel (CDRP), accessing published frameworks and resources, and contacting the Foundation.
2.2 Prohibited Conduct
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to any account, system, or data
- Interfere with or disrupt the Site or its infrastructure
- Scrape, harvest, or extract data from the Site in a manner that burdens its operation
- Impersonate another person or entity
- Submit false, misleading, or fraudulent information through any form
3. Accounts
3.1 Registration
To access certain features, you must create an account. You agree to provide accurate, complete information and to keep it current.
3.2 Account Security
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@kindredlabsfoundation.org if you suspect unauthorized access.
3.3 Termination
We may suspend or terminate your account at our discretion if we have reason to believe you have violated these Terms, provided false information, or engaged in conduct harmful to the Foundation or its community.
4. CDRP Applications
Submission of a CDRP application does not guarantee selection, appointment, or any ongoing relationship with the Foundation. We reserve the right to decline, defer, or discontinue any application or appointment at any time. Applicants are expected to provide truthful and complete disclosures, including conflicts of interest.
5. Intellectual Property
5.1 Site Content
Unless otherwise noted, content published on the Site is the property of Kindred Labs Foundation and is protected by applicable intellectual property law.
5.2 Upstream Governance Framework
The Upstream Governance Framework is published as an open standard. Attribution and conformance terms are defined in the framework document itself. Those terms govern use of the framework and are incorporated here by reference.
5.3 Kindred Labs Codex
The Kindred Labs Codex is published for educational and research purposes with attribution. Commercial reproduction requires written consent from the Foundation.
5.4 Your Submissions
By submitting content through the Site (including contact forms and CDRP applications), you grant the Foundation a limited, non-exclusive license to use that content for the purpose for which it was submitted. You represent that you have the right to submit the content.
6. Disclaimers
The Site and its content are provided "as is" without warranty of any kind, express or implied. The Foundation makes no representations regarding the accuracy, completeness, or fitness for a particular purpose of any content published on the Site.
Nothing on the Site constitutes legal, financial, or professional advice.
7. Limitation of Liability
To the fullest extent permitted by applicable law, the Foundation and its officers, directors, volunteers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Site, even if we have been advised of the possibility of such damages.
Our total liability for any claim arising under these Terms will not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater. (For most users, this means $0, as the Site is free.)
8. Third-Party Links and Services
The Site may link to third-party websites or resources. We are not responsible for the content, availability, or practices of third-party sites. Links do not constitute endorsement.
9. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, except where superseded by applicable federal law.
Any dispute arising under these Terms that cannot be resolved informally will be submitted to binding arbitration under the rules of the American Arbitration Association, with proceedings conducted in English. Each party bears its own costs. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.
10. Changes to These Terms
We may update these Terms as the Site and its services evolve. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by email notification to registered users. Continued use of the Site after any change constitutes acceptance of the updated Terms.
